Amgen (NASDAQ:AMGN) and Onyx Pharmaceuticals (ONXX) announced they have approved a transaction under which Amgen will acquire all of the outstanding shares of Onyx for $125 per share in cash. The purchase price is $10.4 billion, or $9.7 billion net of estimated Onyx cash.
In early trading, AGMN is higher by 8.2% and ONXX is up 5.6%.
TMS International (TMS) and The Pritzker Organization, LLC announced a merger agreement under which business interests of certain members of the Pritzker family will acquire TMS in an all-cash transaction valued at approximately $1 billion, including refinanced third-party debt. Under the terms of the agreement, TMS stockholders will receive $17.50 in cash for each share of TMS Class A common stock and Class B common stock. The Pritzker Organization is the merchant bank for the interests of certain members of the Pritzker family, with a primary focus in principal investing.
